Terms of Service

The terms that govern your use of the Gatana service.

Last updated: 2 August 2026

1. Acceptance of Terms

By accessing or using Gatana (“Service”), operated by Accendo Consulting GmbH (“Company”, “we”, “us”, or “our”), incorporated in Zürich, Switzerland, you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of these terms, then you may not access the Service.

2. Description of Service

Gatana operates an MCP Gateway that allows AI agents to act on third-party services on behalf of authenticated end-users, using credentials those end-users have delegated. The Service stores and manages delegated credentials, controls which third-party services an agent may reach and with what permissions, and records agent activity for audit purposes.

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. Suspected compromise may be reported to [email protected].

3.3 Organization Accounts

When creating an organization account, you represent that you have the authority to bind the organization to these Terms and that the organization agrees to be bound by these Terms.

4. Acceptable Use

4.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms.

4.2 Prohibited Activities

You agree not to:

  • Use the Service for any illegal or unauthorized purpose

  • Attempt to gain unauthorized access to any part of the Service or other users’ accounts

  • Interfere with or disrupt the Service or servers connected to the Service

  • Upload, post, or transmit any malicious code, viruses, or harmful content

  • Reverse engineer, decompile, or disassemble any part of the Service, except to the extent that applicable law expressly permits it despite this restriction, including where necessary to achieve interoperability

  • Violate any applicable laws or regulations

4.3 Agent Activity

The Service enables agents to act on third-party services using credentials delegated by your end-users. You decide which services your agents may reach and which credentials they may use. Accordingly:

  • You are responsible for the actions your agents take through the Service as if you had taken them yourself.

  • You are responsible for ensuring that agent activity complies with the terms of each connected third-party service, and for holding any licence, authorisation, or consent those services require.

  • You are responsible for the configuration and instructions you give your agents, including the scope of the credentials you delegate to them.

We are responsible for operating the Service as described in these Terms and our documentation.

5. MCP Servers and Connected Services

5.1 Server Installation and Configuration

The Service allows you to install and manage MCP servers within your organization. You are responsible for ensuring that all MCP servers and their configurations comply with your organization’s policies and applicable laws.

5.2 Data Processing

Where we process personal data on your behalf, the allocation of roles and responsibilities is set out in the Data Processing Agreement referenced in Section 6.5. Where you or your end-users connect a third-party service to the Service, that provider is not our sub-processor, and you are responsible for your own arrangements with it.

6. Data and Privacy

6.1 Your Data

You retain ownership of all data you upload, create, or store through the Service (“Your Data”). You grant us a limited license to use Your Data solely to provide the Service.

6.2 Data Storage and Usage

We will not store any of Your Data longer than necessary to provide the Service. We will not use Your Data for marketing, analysis, any training of models, or sale to any 3rd party. Specifically:

  • Data Retention: Your Data is retained only for as long as your account is active or as needed to provide the Service.

  • No Data Mining: We do not analyze, profile, or mine Your Data for any commercial purposes beyond providing the core Service functionality.

  • No AI Training: Your Data will never be used to train artificial intelligence models, machine learning algorithms, or any other automated systems.

  • No Third-Party Sharing: We do not sell, rent, lease, or otherwise share Your Data with third parties for their marketing or commercial purposes.

  • Service Providers: We may share Your Data with trusted service providers solely to provide the Service, under contractual confidentiality and data protection obligations. Our sub-processors are listed in the Data Processing Agreement.

  • Anonymized Analytics: We may collect anonymized, aggregated usage statistics that cannot be linked back to you or your organization for Service improvement purposes.

  • Legal Compliance: We may disclose Your Data if required by law, court order, or government regulation, but only to the minimum extent necessary.

  • Data Storage Location: Your Data is stored at rest within the European Union. Traffic to the Service passes through our content delivery and DNS provider’s global network before reaching our infrastructure; international transfers are addressed in Section 6 of the Data Processing Agreement.

  • Backup and Recovery: Your Data may be included in encrypted backups for disaster recovery purposes, which are subject to the same privacy protections.

6.3 Data Security

We implement appropriate technical and organizational measures to protect Your Data. Those measures are described in Annex 2 of the Data Processing Agreement and summarised on our Security page.

6.4 Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

6.5 Data Processing Agreement

Where we process personal data on your behalf, we do so as your processor under our Data Processing Agreement, which is incorporated into these Terms by reference and takes effect when you accept these Terms. No separate signature is required. In the event of a conflict between these Terms and the Data Processing Agreement on data protection matters, the Data Processing Agreement prevails.

7. Subscription and Payment

7.1 Subscription Plans

The Service is offered through various subscription plans. Features and limitations vary by plan as described on our pricing page. We use Stripe for payment processing, and you agree to comply with their terms of service.

7.2 Payment Terms

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable, except for the pro-rata refund of prepaid fees on termination for convenience under Section 12.5, and except as otherwise stated in these Terms or required by law.

7.3 Free Trial

We may offer a free trial period. At the end of the trial, your subscription will automatically convert to a paid plan if you have provided a payment method.

7.4 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period.

8. Intellectual Property

8.1 Our Rights

The Service and its original content, features, and functionality are owned by Accendo Consulting GmbH and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

8.2 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes.

9. Limitation of Liability

9.1 Excluded Losses

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ACCENDO CONSULTING GMBH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

9.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS AND THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU FOR THE SERVICE IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9.3 Exceptions

The limitations in Sections 9.1 and 9.2 do not apply to liability arising from our wilful misconduct or gross negligence, or to any liability that cannot be limited or excluded under applicable law.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. ACCENDO CONSULTING GMBH EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Indemnification

11.1 Your Indemnity

You agree to defend, indemnify, and hold harmless Accendo Consulting GmbH from and against any third-party claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Service, the actions of your agents under Section 4.3, or your violation of these Terms.

11.2 Procedure

We will notify you promptly of any claim for which we seek indemnification, give you sole control of the defence and settlement of that claim, and provide reasonable cooperation at your expense. You may not settle a claim in a way that imposes any obligation or admission on us without our prior written consent, which will not be unreasonably withheld. Our failure to notify you promptly reduces your obligation only to the extent you are prejudiced by the delay.

12. Term and Termination

12.1 Term

These Terms apply from the moment you first access the Service and continue until terminated under this Section.

12.2 Your Cancellation

You may cancel at any time under Section 7.4.

12.3 Suspension

We may suspend your access immediately where necessary to address a material breach of these Terms, an active security risk, or a legal requirement. We will notify you of the suspension and restore access once the cause is resolved.

12.4 Termination for Cause

Either party may terminate these Terms if the other commits a material breach that remains uncured 30 days after written notice describing it. We may terminate immediately for non-payment that remains outstanding 14 days after written notice.

12.5 Termination for Convenience

We may terminate these Terms on 30 days’ written notice. If we do, we refund prepaid fees covering the unused portion of your subscription term on a pro-rata basis.

12.6 Effect of Termination

Your right to use the Service ceases on termination. For 30 days afterwards, we will make Your Data available for export on request. After that period, Your Data is deleted in accordance with Section 11 of the Data Processing Agreement.

13. Governing Law

These Terms shall be interpreted and governed by the laws of Switzerland, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Zürich, Switzerland.

14. Changes to Terms

We may modify these Terms from time to time. Where a change materially reduces your rights or increases your obligations, we will give at least 30 days’ notice by email or through the Service before it takes effect. Other changes take effect when posted. Your continued use of the Service after the effective date of a change constitutes acceptance. Changes to the Data Processing Agreement are governed by Section 12.4 of that agreement.

15. Contact Information

For questions about these Terms, contact [email protected]. To report a security vulnerability or suspected incident, contact [email protected].

16. General

16.1 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

16.2 Force Majeure

Neither party is liable for failure to perform caused by events beyond its reasonable control, including natural disasters, war, civil unrest, industrial action, and failures of telecommunications or third-party infrastructure. This does not excuse any obligation to pay fees already due.

16.3 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of substantially all our assets, on notice to you.

16.4 No Waiver

A failure to enforce any provision of these Terms is not a waiver of the right to enforce it later.

16.5 Notices

We give notice by email to the address registered on your account or through the Service. You give notice to us at [email protected].

16.6 Survival

Sections 6 (Data and Privacy), 8 (Intellectual Property), 9 (Limitation of Liability), 10 (Disclaimer of Warranties), 11 (Indemnification), 12.6 (Effect of Termination), 13 (Governing Law), and 16 (General) survive termination.

17. Entire Agreement

These Terms, together with the Privacy Policy and the Data Processing Agreement, constitute the entire agreement between you and Accendo Consulting GmbH regarding the Service and supersede all prior agreements and understandings.
